Terms & Conditions – Design & Project Services
These terms govern all design, engineering, project management, and fabrication services provided by David Avery (19870110-1373), trading as Proto-Shop.se and Smaland-3DPrint.se. By accepting a quotation or engaging our services, you agree to these terms in full. Document version: V1.1 – August 2025.
1. Scope of Design Services
Services are provided as bundled design and development packages. This includes product feasibility studies — structured evaluations of concepts covering technical viability, manufacturing, cost, usability, materials, scalability, and regulatory considerations — as well as project management across mechanical, electronic, and production domains, including scheduling, milestone planning, and stakeholder communication.
2. Technical Design Services
CAD & 3D Modelling: 3D modelling using Fusion and Blender, part design, component and multi-part system design, assembly design and validation. Electronics Design: circuit block prototyping, integration into complete systems, PCB design and layout, microcontroller (MCU) programming, testing and prototyping, small-batch PCB production, and 3D modelling of PCBs for enclosure integration.
3. Prototype Production Services
Additive manufacturing (FDM and resin 3D printing). CNC machining: large format CNC (1500×1000×50 mm) for panels, wood, laminates, and resin materials; small CNC for soft metals and cast carbon fibre. Laser cutting and engraving (80W system, including limited metal engraving). CNC foam cutting with multiple densities available. Finishing: spray booth painting, powder coating (small to medium parts), and lacquering via approved external partners.
4. Project Process
All projects begin with an initial consultation to define goals, requirements, and constraints. A structured brief is then created covering functional requirements, technical specifications, timeline expectations, testing requirements, and iteration processes. A formal quotation will include pricing structure, defined phases, objectives, estimated timelines, material cost estimates, and billing structure.
5. Project Variations & Force Majeure
Unforeseen conditions — including external factors, incomplete or undisclosed requirements, or technical constraints — may require deviation from the original project plan. Adjustments will be discussed and agreed upon prior to continuation where possible.
6. Payment Terms
Deposits may be required. Credit checks may be conducted for business clients. Short projects (under 1 month) may require full payment upfront. Long projects (over 1 month) are billed periodically or per milestone as defined in the quotation. Standard invoicing terms are 14 days from the invoice date. Late payments may be subject to reminder fees, administrative charges, and statutory interest under Swedish law (räntelagen). Discounted pricing is conditional upon full project completion — early termination may invalidate agreed discounts.
7. Engagement Terms
Full-time availability: up to 40 hours/week (Mon–Fri); meeting availability 07:00–19:00 Swedish local time. Acceptance of a quotation constitutes a binding agreement to reserve and allocate time, resources, and availability. Where a quotation includes defined time blocks, this represents a contractual obligation to pay for the reserved time regardless of utilisation, unless otherwise agreed in writing. Failure to utilise allocated time, delays caused by the client, or lack of engagement do not reduce the payment obligation.
8. Cancellation Terms
Client cancellation (full-time engagement) requires a minimum of 1 month's notice or end of the current billing period. Failure to meet obligations may result in full billing of the committed period, recovery of all material and third-party costs, and referral to debt collection without further notice. Proto-Shop.se reserves the right to terminate services under reasonable circumstances; in such cases clients may request project handover documentation. Cancellation due to unreasonable conduct — including abusive behaviour, illegal requests, or actions posing financial or reputational risk — voids client cancellation protections.
9. Billing Rates
Minimum base rate: 500 SEK/hour (August 2025 baseline, subject to inflation adjustments). Billing may be calculated on hourly, daily, or milestone rates as defined in the quotation.
10. Discounts
Discounts are conditional upon full-term project completion. If a discounted project is terminated early by the client, completed work reverts to standard rate and the difference will be invoiced. If termination is initiated by the provider (for reasons other than unreasonable conduct), agreed discounts remain valid.
11. Additional Costs
Travel required for project execution is billable to the client, including transport (standard class), accommodation (up to 1,300 SEK/night, inflation-adjusted), and daily expenses (up to 400 SEK/day). Exceptions apply for high-cost locations.
12. Project Management & Overruns
Clients are expected to participate in regular (weekly or bi-weekly) update meetings. Where delays or additional work arise, costs will be discussed and agreed prior to continuation. Costs may be borne by the client, provider, or shared depending on cause.
13. Intellectual Property
All designs, CAD files, source code, schematics, documentation, and other project outputs remain the property of the provider until full payment has been received. Upon full payment, the client is granted rights to use the delivered outputs for their intended purpose. The provider retains the right to reuse non-client-specific knowledge and methods, and to display non-confidential work in portfolios. Third-party components remain subject to their respective licences.
14. Limitation of Liability
To the fullest extent permitted under Swedish law, total liability is limited to the amount paid by the client for the specific project or phase giving rise to the claim. The provider is not liable for indirect or consequential losses, including loss of profit, business interruption, or loss of opportunity.
15. Warranty & Use of Deliverables
Unless explicitly stated otherwise, all deliverables are considered prototypes or development-stage outputs and are not guaranteed to be production-ready. The provider does not guarantee fitness for any specific purpose beyond what is explicitly agreed in writing. The client is responsible for final validation, compliance testing, and suitability for end-use applications.
16. Client Responsibilities
The client agrees to provide accurate, complete, and timely information; engage in scheduled meetings and feedback cycles; review and approve deliverables within reasonable timeframes; and pay all invoices promptly. Delays or issues arising from incomplete or incorrect information, or delayed payment, may result in additional costs, timeline extensions, suspension of work, or project variation.
17. Data Protection (GDPR)
Personal data is processed in accordance with the General Data Protection Regulation (GDPR) and applicable Swedish data protection laws. Data is used solely for project execution, communication, billing, and legal compliance. Data may be shared with third parties only where necessary for project execution (e.g. manufacturing partners, logistics providers) or where required by law. Data is retained only as long as necessary for contractual, legal, and accounting purposes. Clients have the right to request access, correction, or deletion of their personal data, subject to legal obligations.
18. Legal Framework
These terms are governed by and interpreted in accordance with the laws of Sweden. They are intended to complement applicable Swedish legislation and do not replace statutory rights or obligations.
